Terms of Service

1. Agreement to Terms

By accessing or using SimpleTrade ("the Service"), operated by [COMPANY LEGAL ENTITY] ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SimpleTrade is an AI-powered market intelligence platform that provides stock analysis, market context, watchlists, trade journaling, and related tools. The Service uses artificial intelligence and third-party data providers to generate analytical content.

SimpleTrade does not provide investment advice, financial recommendations, or brokerage services. All analysis, scores, ratings, and content are for informational and educational purposes only. You should not make investment decisions based solely on information from SimpleTrade.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

4. Account Registration

To access certain features, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

5. Subscriptions and Payments

SimpleTrade offers free and paid subscription tiers. Paid subscriptions ("Pro") are billed on a recurring basis through Stripe. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis.
• Subscriptions auto-renew unless canceled before the next billing cycle.
• You may cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then.
• If we terminate your account for cause under Section 12, no refund will be issued for the remaining subscription period, except as required by applicable law.
• If we terminate your account without cause, we will issue a pro-rated refund for the unused portion of any prepaid subscription period.
• Refund requests for other circumstances are handled on a case-by-case basis. Contact us at legal@simpletrade.app. Nothing in this section limits any statutory refund rights you may have under applicable consumer protection law.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified before any price change applies to their account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Reverse-engineer, scrape, or systematically extract data from the Service.
• Redistribute, resell, or publicly republish analysis content without permission.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Use automated tools (bots, crawlers) to access the Service without authorization.
• Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

All content, features, and functionality of the Service (including but not limited to analysis outputs, scoring algorithms, UI design, and branding) are owned by [COMPANY LEGAL ENTITY] and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

Content you create within the Service (such as journal entries and watchlists) remains yours. You grant us a limited license to store and process this content solely to provide the Service.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence models to generate analysis, scores, and recommendations. AI-generated content:

• May contain errors, inaccuracies, or outdated information.
• Should not be treated as professional financial advice.
• Is generated from third-party data sources that we do not independently verify.
• May vary between requests even for the same stock or input.

You acknowledge that all investment decisions are your sole responsibility. We are not liable for any financial losses resulting from use of the Service.

9. Data Accuracy and Availability

Market data, financial metrics, and news are sourced from third-party providers. We make no guarantees about the accuracy, completeness, or timeliness of this data. The Service may experience downtime, delays, or data gaps. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, [COMPANY LEGAL ENTITY] and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your account if you violate these Terms. We may also terminate the Service or your access for operational reasons with reasonable notice. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy. Refund treatment on termination is governed by Section 5.

13. Indemnification
